Non-Disclosure and Confidentiality Agreement Policy

Policy Overview

This policy seeks to protect confidentiality, including intellectual property and proprietary information, of entities outside the university when referenced in course content or student work.

Policy Responsibility

The responsibility for the protection of intellectual property and proprietary information rests upon all faculty members as they develop content for courses and share content with students in courses and webinars, and with any student submitting written or presentation assignments, including work that will be reviewed by faculty members and/or student peers, and including all forms of assignments and all media types. 

Faculty and Student Responsibility

There may be assignments or projects in academic programs where you, as a student or faculty member, will use a case scenario involving your employer, business, or a healthcare entity for which you have access to confidential, internal, and proprietary information. In order to protect the proprietary rights and privacy of these entities, all students and faculty members must follow the standards listed in this document to de-identify the organization to the degree possible and necessary. 

To de-identify confidential information, students and faculty must: 

  1. Remove specific identifiers of individuals, groups, or entities (including but not limited to private businesses, public or non-profit organizations, and professional organizations).
  2. Refrain from sharing information gleaned from other students or faculty members in an unethical manner outside of the work completed in CGI academic programs, courses, and webinars. 

To participate in CGI courses, you must agree not to disclose confidential information, as well as intellectual property of faculty members, other students, and entities discussed in courses at CGI. 

For the purposes of this policy, The term “Confidential Information” shall mean any data or information that is competitively sensitive material and not generally known to the public, including, but not limited to, information relating to any of the following:

  • Accounting information
  • Business operations
  • Computer technology
  • Customer information
  • Intellectual property
  • Marketing & sales information 
  • Proprietary rights
  • Procedures and specifications
  • Product information
  • Service information
  • Software information
  • Other specific confidential information that is competitively sensitive material and not generally known to the public. 

Instructor & Administrative Staff Responsibilities

Administrative leaders at CGI (program directors and curriculum & instructional design team) are responsible for sharing this policy with all faculty members and students, and for ensuring compliance with this policy in course content and in student work. 

The Compliance Office is responsible for addressing reports of confidentiality violations, and for taking appropriate corrective action to ensure compliance. 

All CGI staff, faculty, and students are obligated to maintain confidentiality with respect to confidential information. CGI Community members agree to retain all Confidential Information in strict confidence, to protect the security, integrity and confidentiality of such information and to not permit unauthorized access to or unauthorized use, disclosure, publication or dissemination of Confidential Information.

Policy Procedure

CGI students or faculty who do not take the required measures described above to protect confidential information will be reported to the Compliance Office and disciplinary action will be imposed. Anyone with knowledge of non-compliance with this policy is required to report it immediately to the Compliance Office at compliance@cgi.edu.
